4. Intellectual Property

 These Terms of Use (“Terms”) govern your access to and use of the Kintah Platform  platform, services, applications, and tools (“Services”). By registering or using the platform as a Seller, Buyer, Shipper, or Partner, you agree to be bound by these Terms.

If you do not agree to these Terms, do not register or use the Kintah Platform  platform.

7. Eligibility and Account Registration

To use Kintah Platform , you must:

  • Be a legally registered business entity in your country of operation

  • Provide accurate business, contact, and tax information

  • Undergo Kintah Platform  identity and business verification

  • Designate your account type: Seller, Buyer, Shipper, or Partner

  • Agree to these Terms and all applicable policies

Kintah Platform  reserves the right to approve or reject accounts based on internal verification standards.

8. User Types and Responsibilities

A. Seller Responsibilities

Sellers (manufacturers, wholesalers, distributors, or retailers) must:

  • Provide verified company registration, tax ID, and warehouse location(s)

  • Accurately list products, including weight, dimensions, HS/tariff codes, and declared value

  • Maintain real-time updates to inventory, pricing, and availability

  • Fulfill all orders on time and according to platform standards

  • Upload required shipment documents (invoice, packing list)

  • Respond to buyer queries or disputes within 48 hours

Mandatory Shipment Insurance

  • Every order must be covered by active shipment insurance before dispatch

  • Insurance must cover the full order value, including cross-border transit

  • Insurance premium must be included in the total order cost

  • Sellers must use recognized providers (e.g., Allianz Trade, UPS Capital, Shipsurance)

  • Proof of coverage must be uploaded per order in the shipment module

  • Kintah Platform  reserves the right to withhold payouts or suspend accounts for uninsured shipments

B. Buyer Responsibilities

Buyers (retailers, importers, procurement officers) must:

  • Register with accurate company and procurement credentials

  • Submit purchase orders or RFQs with intent to transact

  • Make payments or release escrow per agreement terms

  • Respond to shipping updates, confirmations, or disputes

  • Inspect shipments upon delivery and provide proof in case of issues

Compliance and Ethics
  • Buyers acknowledge the shipment is insured and must initiate any claim with sufficient proof

  • Any fraudulent behavior (chargebacks, false claims) will result in account suspension

C. Shipper Responsibilities

Shippers (independent or integrated carriers) must:

  • Register their business, driver profiles, and transport vehicles

  • Submit licenses and tax documentation

  • Provide up-to-date routing and delivery information

  • Mark each shipment stage in the platform: pickup, in transit, delivered

  • Upload photos and delivery confirmation documents

Mandatory Liability Insurance
  • All shippers must carry active business liability insurance, which covers:

    • Goods in transit

    • Accidental loss or damage

    • Third-party liability

  • Proof of valid insurance must be uploaded and renewed as required

  • Lack of insurance results in immediate account suspension

D. Partner Responsibilities

Partners (agencies, consultants, or account managers) must:

  • Register as a Partner account

  • Manage only clients they are authorized to represent

  • Uphold confidentiality, ethical behavior, and data protection

  • Earn commissions transparently according to Kintah Platform  rules

9. Verification and Audit Rights

Kintah Platform  may:

  • Conduct manual or automated verification of user information

  • Audit user activity and uploaded documentation at any time

  • Request updated documents to maintain account status

  • Suspend or terminate accounts failing to meet compliance requirements

10. Shipping, Disputes, and Proof of Delivery

All shipment workflows must:

  • Follow the Kintah Platform  structure for lifecycle tracking

  • Include timestamped uploads for:

    • Proof of loading

    • In-transit checkpoints (optional)

    • Delivery confirmation

  • Buyers must inspect and confirm or dispute deliveries within 3 business days

  • Disputes require supporting evidence (e.g., delivery photo, signed documents)

11. Fees, Payouts, and Commissions
  • Kintah Platform  charges a standard 8% service fee on every transaction

  • Payouts to sellers and shippers are issued only after delivery confirmation and insurance verification

  • Partners earn commissions based on referred or managed client activity

  • All fees are outlined in your subscription or account settings

12. Platform Integrity and Prohibited Conduct

Users may not:

  • Misrepresent their identity, company, or services

  • Sell illegal, restricted, or counterfeit goods

  • Circumvent Kintah Platform  payment or order processes

  • Engage in harassment, fraud, or unethical trade practices

  • Violate third-party rights, including intellectual property or trade restrictions

13. Termination and Suspension

Kintah Platform  reserves the right to suspend or terminate your account if you:

  • Fail to maintain required insurance

  • Submit false or unverifiable information

  • Repeatedly violate SLA terms or dispute resolution protocols

  • Engage in prohibited conduct or fraud

14. Limitation of Liability

Kintah Platform  is not liable for:

  • Damages caused by uninsured or improperly handled shipments

  • Delays, customs issues, or losses outside the platform's control

  • Acts of fraud or negligence by third parties

Users agree to indemnify Kintah Platform  for any damages arising from non-compliance with these Terms.

15. Governing Law and Jurisdiction
